Robert Kaplan advises, collaborates with and represents businesses across the nation in all aspects of capital formation, as well as corporate law and governance. He has worked with clients in industries as diverse as technology, professional sports, financial services and products, real estate, manufacturing and retail and consumer products.

Kaplan’s transactional experience includes registered and exempt offerings, private equity and institutional investment, real estate funds and syndications, institutional financings of real estate acquisitions, mergers and acquisitions and real estate investment trusts. Kaplan also has a unique knowledge of the placement of alternative investments in the retail, independent broker-dealer and registered investment advisor market. Throughout his career, he has been counsel in securities offerings/transactions and syndications worth over $3.5 billion.

Kaplan spearheads the firm’s JOBS Act and Regulation A practice and was a pioneer and advocate for the revision and revitalization of Regulation A. He worked with Congress on the adoption of Title IV, and with the Securities and Exchange Commission on rules for implementation, including testifying before the U.S. Senate Banking Committee on Regulation A’s impact on the lower middle market and the alternatives industry.

Kaplan has appeared on radio and television, as well as in print media, offering commentary on the JOBS Act and the Regulation A market and is co-author of Regulation A+: How the JOBS Act Creates Opportunities for Entrepreneurs and Investors, published by Apress.

He was previously appointed by the Governor of the Commonwealth of Virginia to serve from 2012 to 2016 as a member of the Virginia Board of Housing and Community Development, the governing board of the Virginia Department of Housing and Community Development.
